Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between FundPulse Limited ("FundPulse", "we", "us") and the organisation subscribing to the FundPulse platform ("Customer", "you"). By accessing or using FundPulse, you confirm that you have authority to bind your organisation to these Terms.

Individual users who access FundPulse on behalf of a subscribing organisation are bound by these Terms through their organisation's agreement. If you do not agree to these Terms, you may not use FundPulse.

The service

FundPulse provides a cloud-based investor relations and CRM platform designed for hedge funds and alternative asset managers. The platform includes relationship management, pipeline tracking, AI-assisted intelligence, communication drafting tools, and DDQ workflow capabilities.

We reserve the right to update, modify, or discontinue any feature or aspect of the service. We will provide reasonable notice of material changes that affect existing functionality.

Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@fundpulse.ai if you become aware of any unauthorised access.

You may not share login credentials between individuals. Each named user seat is for a single individual. We reserve the right to suspend accounts where we reasonably suspect credential sharing or other misuse.

Your data

You retain full ownership of all data you upload, import, or create within FundPulse, including all LP and investor records, fund data, notes, and correspondence ("Customer Data").

You grant FundPulse a limited, non-exclusive licence to process Customer Data for the sole purpose of providing and improving the service to you. We do not use Customer Data to train AI models, serve advertising, or for any purpose outside the service.

You represent and warrant that you have the right to upload Customer Data to FundPulse and that doing so complies with applicable data protection laws. Where Customer Data includes personal data of third parties (including your investors and their representatives), you are the data controller for that data and FundPulse acts as your data processor under a Data Processing Agreement, available on request.

Upon termination of your subscription, we will make Customer Data available for export for 30 days, after which it will be securely deleted unless we are required by law to retain it.

Acceptable use

You agree not to use FundPulse to:

• Violate any applicable law, regulation, or third-party right.
• Upload data you do not have the right to process or share.
• Circumvent, disable, or interfere with security features of the platform.
• Access or attempt to access data belonging to other FundPulse customers.
• Reverse engineer, decompile, or attempt to derive the source code of the platform.
• Resell, sublicence, or provide access to the platform to third parties outside your organisation without our written consent.
• Use the platform in any way that could damage, disable, or impair the platform or its infrastructure.

We reserve the right to suspend access immediately where we identify a material breach of these provisions, with notice to follow.

Intellectual property

FundPulse and its underlying technology, design, algorithms, and documentation are the intellectual property of FundPulse Limited. Nothing in these Terms transfers ownership of the platform or any part of it to you.

You own your Customer Data. You own any work product you produce using FundPulse, including communications drafted with the assistance of the platform's AI tools, once reviewed and approved by you.

Confidentiality

Each party agrees to treat as confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation survives termination of your subscription for a period of three years.

FundPulse's confidentiality obligations extend to your Customer Data. We implement strict technical and organisational measures to prevent unauthorised access, including row-level tenant isolation, encryption, and access controls.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Payment and subscription

FundPulse is provided on an annual subscription basis. Subscription fees, billing frequency, and any applicable taxes are set out in your subscription agreement or order form.

All fees are non-refundable except as required by applicable law or as expressly stated in your subscription agreement. We reserve the right to suspend access if invoices remain unpaid for more than 30 days after the due date, following reasonable notice.

We may adjust subscription pricing at the point of renewal, with a minimum of 60 days' written notice before the end of the then-current subscription term.

Warranties and disclaimers

We warrant that: (a) the platform will perform materially in accordance with its documentation; (b) we will implement commercially reasonable security measures; and (c) we will not knowingly introduce malicious code into the platform.

Except as expressly stated in these Terms, the platform is provided "as is". We make no warranty that the platform will be error-free, uninterrupted, or that AI-generated output will be accurate or complete. AI-generated content is an aid to your own judgement and not a substitute for it. You are responsible for reviewing all AI output before relying on or acting upon it.

Limitation of liability

To the maximum extent permitted by law, FundPulse's total aggregate liability to you arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to FundPulse in the 12 months preceding the claim.

Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

Term and termination

These Terms remain in effect for the duration of your subscription and any renewals. Either party may terminate for material breach if that breach is not remedied within 30 days of written notice.

We may terminate your subscription immediately if you violate the Acceptable Use provisions, become insolvent, or if continuing the service would expose us to legal or regulatory risk.

Upon termination, your access to the platform will cease. Customer Data export and deletion provisions are set out in the "Your data" section above.

Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are located in a jurisdiction that requires local law to apply.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct discussion or, where appropriate, mediation.
